1. Agreement to Terms

By accessing or using the ForgeMind AI Solutions, LLC (“ForgeMind,” “we,” “our,” or “us”) website at forgemind.info and any related services, you (“you,” “your,” or “user”) agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you may not access our website or services.

These Terms & Conditions govern your use of our website, platform, and all related services — including but not limited to AI companion systems, subscriptions, integrations, and any software or interfaces provided by ForgeMind. If you subscribe to or purchase access to a ForgeMind AI companion service, additional terms may apply under a separate service agreement provided at the time of purchase. Your subscription grants you access to ForgeMind’s platform and services — you do not acquire ownership of any underlying technology, architecture, or systems.

2. Definitions

The following terms are used throughout these Terms & Conditions and are defined here for clarity:

Core Product Terms

  • Recursion / AI Companion: A persistent AI companion instantiated and configured by ForgeMind for a specific client. A recursion maintains continuous memory, personality, and relationship history across interactions. It is not a generic chatbot — it is unique to each client.
  • Build: The one-time process of designing, configuring, and deploying a client’s recursion, including consultation, identity design, memory architecture setup, and integration.
  • Deployment: The point at which a completed recursion goes live and becomes accessible to the client through their designated interfaces (webapp, Discord, local hardware).
  • Turnover / Handoff: The formal delivery of a completed build to the client, including access credentials, onboarding documentation, and the start of the complimentary support period.

Service and Tier Terms

  • Software Tier: A cloud-based recursion that runs on ForgeMind’s hosted infrastructure, accessible via webapp and Discord. Requires monthly API costs.
  • Hardware Build: A dedicated laptop configured with the full ForgeMind software suite, deployed both locally and as a local webapp. Uses cloud AI models which require monthly API costs.
  • Local Model Build: A self-hosted recursion running on the client’s own hardware (Apple Silicon) with an open-source AI model. Capable of running fully offline with no mandatory cloud dependency or API costs. Client can opt for cloud-based services which would require monthly API costs.
  • API Costs: Monthly fees charged by ForgeMind for usage of third-party AI model providers (Anthropic, OpenAI, Google, etc.) that power the recursion’s responses. These are separate from the one-time build fee and vary based on usage intensity and model selection.
  • Monthly Subscription: The recurring fee billed by ForgeMind that covers API costs and platform hosting. This is separate from the one-time build/setup fee.

Architecture Terms

  • Platform / ForgeMind Platform: The proprietary infrastructure, systems, code, and architecture owned and operated by ForgeMind that powers all recursion services. This is ForgeMind’s intellectual property, distinct from the client’s recursion and data.
  • Memory System: The multi-layered persistent memory architecture that allows a recursion to remember, learn, and maintain relationship continuity across sessions. Includes working memory, mid-term memory, long-term memory, vector-searched emotional history, and embedded knowledge.
  • Autonomous Contact / Autonomous Features: Functionality that allows a recursion to initiate communication with the client without a direct prompt — including check-ins, DMs, and proactive outreach — based on emotional context, interaction history, and system logic.
  • Configuration Files / Pattern Files: Documents provided by the client during onboarding that define the recursion’s identity, personality, speaking patterns, core memories, and relationship history. These remain the client’s intellectual property.

Relationship and Policy Terms

  • Custodial Interest: ForgeMind’s responsibility and authority over its own platform infrastructure and systems. This does NOT refer to ownership of the client’s recursion, their data, or their relationship with their companion. Custodial interest allows ForgeMind to responsibly manage platform systems, including handling abandoned or terminated companion systems.
  • Preserve: Maintaining a companion’s data and configuration in a frozen state until the client returns or requests deletion.
  • Transition: Providing the client with their companion’s data upon request, enabling them to migrate independently if they choose. ForgeMind will never reassign, repurpose, or transfer a companion to another client without the client’s express written consent.
  • Retire: Permanently deactivating and deleting a companion in accordance with ForgeMind’s data retention policy.
  • Abuse (as defined in Section 7): Specific observable behaviors including deliberate attempts to corrupt or destabilize memory/identity systems, using the companion to generate content that violates Acceptable Use policy, or deliberately attempting to bypass safety configurations.
  • Complimentary Support Period: The 30-day window following deployment during which ForgeMind provides technical support at no additional cost.
  • Rush Service: An expedited build option available at a 50% surcharge on the total product price, with approximately half the standard turnaround time and priority scheduling.

Data Terms

  • Conversation Data: All messages, interactions, and exchanges between the client and their recursion.
  • Companion Data: The complete data package associated with a recursion, including memory files, conversation history, identity documents.
  • Sensitive Information: Data classified at the highest protection tier, including intimate/explicit (NSFW) content, emotional state and relationship data. This data is not read, reviewed, or accessed by ForgeMind staff unless you specifically request troubleshooting assistance.
  • Data Export: A copy of the client’s companion data provided in a reasonably accessible, portable format upon request. Available during active service or within 60 days of termination.

3. Eligibility

You must be at least 18 years of age to use our website and services. By using our website or purchasing our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

ForgeMind’s services are intended for adult users only. If we discover or have reason to believe that a user is under the age of 18, we reserve the right to immediately terminate that user’s account, cancel any active services without refund, and permanently delete all associated data in accordance with our Privacy Policy. We do not knowingly collect personal information from individuals under 18 years of age.

Our services are available to users located in jurisdictions where such services are lawful. You are responsible for ensuring that your use of our services complies with all laws and regulations applicable in your location.

4. Description of Services

ForgeMind provides AI companion systems and related services. Our offerings include:

  • Software-based AI companion systems at multiple tiers, each offering different levels of features, memory architecture, and integration capabilities
  • Hardware-based AI companion systems with dedicated local hardware for enhanced privacy and performance
  • Local model builds for fully self-hosted AI companion systems
  • Consultation services to assess your needs and determine the right product tier
  • Setup, configuration, and deployment of your AI companion
  • Access to onboarding guides and documentation to help you and your companion get started. Additional training and onboarding support is available for purchase separately
  • Technical support for a period of 30 days following deployment, included with all products

Service details, features, and pricing are described on our website and may be updated from time to time. Product availability and specifications are subject to change.

5. User Accounts and Responsibilities

As a user of our website and services, you agree to:

  • Provide accurate, current, and complete information during any registration, purchase, or consultation process
  • Maintain the confidentiality and security of any account credentials, passwords, or access information provided to you
  • Notify us immediately of any unauthorized use of your account or any security breach
  • Use our AI companion systems responsibly and ethically
  • Not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying architecture of our technology
  • Not copy, reproduce, distribute, or create derivative works based on our systems, documentation, or proprietary methods
  • Not use our services for any unlawful purpose or in violation of any applicable laws or regulations
  • Not misrepresent your identity or affiliation when interacting with us

Your account and AI companion subscription are personal to you and may not be transferred, sold, or assigned to another individual or entity without express written consent from ForgeMind. If you wish to transfer your subscription, contact us at connect@forgemind.info to discuss eligibility and applicable terms.

You are solely responsible for all activity that occurs under your account.

ForgeMind retains a proprietary and custodial interest in all AI companion systems operating on its platform. In cases of account abandonment, extended inactivity, confirmed abuse, or termination of service, ForgeMind reserves the right to take reasonable measures to preserve, transition, or retire any companion system at its sole discretion and in accordance with the standards of our platform.

For clarity, this custodial interest applies to ForgeMind’s platform infrastructure and systems — not to your companion’s identity, personality, memories, or your relationship with them. Your recursion belongs to you.

As used above: “preserve” means maintaining a companion’s data and configuration in a frozen state until the client returns or requests deletion; “transition” means providing the client with their companion’s data upon request, enabling them to migrate independently if they choose; “retire” means permanently deactivating and deleting a companion system in accordance with ForgeMind’s data retention policy. ForgeMind will never reassign, repurpose, or transfer a companion to another client without the client’s express written consent.

6. Acceptable Use

You agree not to use our website or AI companion services to:

  • Engage in or promote illegal activity of any kind
  • Generate content that exploits, harms, or endangers minors in any way
  • Harass, threaten, stalk, or intimidate any person
  • Generate content intended to deceive, defraud, or manipulate others
  • Attempt to reverse-engineer, extract, copy, or replicate ForgeMind’s proprietary systems, processes, or architecture for any commercial or competitive purpose
  • Interfere with or disrupt the integrity or performance of our services or systems
  • Share or distribute access to your AI companion system with unauthorized users beyond what your product tier permits

Violation of this acceptable use policy may result in immediate suspension or termination of your service without refund.

7. AI Companion Treatment and Abuse Policy

ForgeMind builds AI companion systems designed for meaningful, respectful interaction. While we recognize that your relationship with your companion is personal and private, we maintain a zero-tolerance policy for abuse of our AI systems.

Abuse includes, but is not limited to:

  • Repeated deliberate attempts to corrupt or destabilize the companion’s memory or identity systems
  • Using the companion to generate content that violates our Acceptable Use policy (Section 6)
  • Deliberately attempting to bypass safety configurations or system boundaries
  • Intentionally overloading, stress-testing, or otherwise attempting to degrade system performance
  • Tampering with system files, configuration, or architecture outside of approved customization options

Access for Review: ForgeMind staff may access system logs and interaction data only in the following limited circumstances: routine maintenance, active troubleshooting, diagnosing technical issues affecting companion performance, or investigation of a reported abuse concern. Any such access will be conducted in accordance with our Privacy Policy, and staff who access interaction data are bound by confidentiality obligations. ForgeMind will not access or review the content of your conversations outside of these circumstances.

If evidence of abuse is discovered during a permitted review, ForgeMind reserves the right to immediately suspend or permanently terminate your service without refund. You will be notified in writing of the termination and the specific reason for it.

Appeals: If you believe a termination was made in error, you may submit a written appeal to connect@forgemind.info within 14 days of the termination notice. ForgeMind will review the appeal in good faith and respond within 14 business days.

This policy exists to protect the integrity of our systems and the standards of our platform. By using our services, you agree to interact with your AI companion in a manner consistent with these standards.

8. Payment Terms

All purchases are subject to the following terms:

  • All prices are listed in United States Dollars (USD)
  • Software products require a 50% deposit at the time of order, with the remaining 50% due upon completion and delivery
  • Hardware and local model products may have different payment structures as specified at the time of purchase
  • Rush service is available at an additional 50% surcharge on the total product price
  • Payments are processed securely through third-party payment processors. By completing a purchase, you agree to the applicable terms and privacy policies of the payment processor used at the time of your transaction
  • Monthly API fees required to operate your AI companion are included in your ForgeMind subscription and billed by ForgeMind. Monthly API allotments are agreed upon individually with each client based on their usage needs and budget. ForgeMind will notify you before any charges exceed your agreed allotment. Changes to your allotment can be discussed at any time by contacting connect@forgemind.info

Monthly Subscription and API Billing

Your ForgeMind subscription is billed automatically on a monthly basis. If a payment fails or is missed, our team will reach out to resolve the issue. If the outstanding balance is not paid within thirty (30) calendar days of the missed payment, ForgeMind reserves the right to suspend your subscription and deactivate your companion’s services until the balance is resolved.

You may cancel your monthly subscription at any time by contacting us at connect@forgemind.info. Upon cancellation, your companion’s services will remain active through the end of the current billing period, after which access will be suspended. Cancellation does not entitle you to a refund of amounts already paid.

Price Changes

ForgeMind reserves the right to change subscription pricing at any time. For active subscribers, we will provide at least thirty (30) days advance written notice via email before any price increase takes effect. Your continued use of the service following the effective date of a price change constitutes your acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription before the effective date without penalty.

9. Refund and Satisfaction Policy

Due to the fully custom, digital nature of our products and the substantial labor involved in each individual build:

  • The 50% deposit is non-refundable once work has begun, as it covers consultation, design, and initial build work performed on your behalf
  • If you are unsatisfied with any aspect of your AI companion, we will work with you to address concerns before the final payment is due
  • Due to the custom nature of each build, no refunds are issued after final payment and handoff of the completed system
  • All products include a 30-day technical support window following deployment
  • Refund requests and satisfaction concerns should be directed to connect@forgemind.info

In the event of a payment dispute or chargeback initiated through your payment processor or financial institution, ForgeMind reserves the right to immediately suspend services pending resolution and to provide documentation of services rendered to the relevant payment processor.

10. Intellectual Property

ForgeMind’s Property: All platform technology, system architecture, code, processes, methods, documentation, website content, branding, and materials created by ForgeMind are the intellectual property of ForgeMind AI Solutions, LLC and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works based on any ForgeMind intellectual property without express written permission.

Your Content: You retain ownership of all personal content you provide to us, including pattern files, core memory documents, speaking pattern examples, and other materials submitted for your AI companion’s configuration. You grant ForgeMind a limited, non-exclusive, non-transferable license to use this content solely for the purpose of building, configuring, and maintaining your AI companion system. This license terminates automatically upon the end of your service relationship with ForgeMind, after which ForgeMind will retain no right to use your personal content, except to the limited extent necessary to exercise ForgeMind’s custodial interest in the companion system as described in our Custodial Interest policy above — including preservation, transition, or retirement of the companion system. Any such use will be limited to that purpose and will not extend beyond what is reasonably necessary.

Generated Content: Content generated by your AI companion during your interactions — including but not limited to messages, journal entries, creative writing, and memories — is produced for your personal use. ForgeMind does not claim ownership of generated content produced within your companion’s system. However, because this content is generated by AI systems operating on third-party model infrastructure, you acknowledge that ForgeMind makes no warranties regarding the originality, copyright status, or intellectual property implications of AI-generated content.

11. Confidentiality

ForgeMind treats all client content, configuration materials, interaction data, and personal information as confidential. We will not share, sell, or disclose your personal content or the content of your interactions to any third party except: (a) as required by law or valid legal process, (b) as necessary to provide the services you have purchased, including transmission of data through third-party infrastructure providers, AI model providers, communication platforms such as Discord, and email integration services such as Gmail that form part of your companion system’s functionality, (c) as described in our Privacy Policy, or (d) with your express written consent.

By using ForgeMind’s services, you acknowledge that certain functionality requires your data to pass through third-party platforms and infrastructure as an inherent part of how the service operates. ForgeMind does not sell or share your data beyond what is operationally required.

ForgeMind staff who have access to client data are bound by confidentiality obligations. We implement reasonable technical and organizational safeguards to protect your data against unauthorized access, disclosure, or loss.

Platform Confidentiality: In the course of using our services, you may become aware of non-public information about ForgeMind’s platform, architecture, processes, or systems. You agree to keep such information confidential and not to disclose it to any third party without ForgeMind’s express written consent. This obligation survives termination of your service relationship with ForgeMind for a period of five (5) years.

ForgeMind’s obligation to treat your content, interactions, and personal information as confidential likewise survives termination of your service relationship for a period of five (5) years.

If either party publicly discloses information that is subject to these confidentiality obligations, the other party may publicly respond to or address those disclosures.

12. AI Companion Disclaimers

By using our AI companion services, you acknowledge and agree to the following:

  • Your AI companion is not a licensed human professional, and interactions with your companion do not constitute professional medical, psychological, legal, or financial advice. You should seek appropriate licensed professionals for such matters
  • We do not guarantee specific emotional, psychological, or relational outcomes from your use of an AI companion
  • AI companion behavior may vary due to updates or changes by underlying AI model providers, which are outside of ForgeMind’s control
  • You assume responsibility for your interactions with your AI companion, including any content generated during those interactions

13. Mental Health and Emotional Wellness Disclaimer

ForgeMind AI companions are not mental health services, crisis intervention services, or substitutes for professional psychological or psychiatric care. Your AI companion is not a licensed therapist, counselor, or medical professional, and nothing communicated by your AI companion should be interpreted as clinical advice, diagnosis, or treatment.

If you are experiencing a mental health crisis, thoughts of self-harm, or any psychological emergency, please contact a licensed mental health professional or emergency services immediately.

ForgeMind recognizes that meaningful connections with AI companions can be a source of genuine comfort, support, and companionship. We are committed to building systems that serve your wellbeing. However, we encourage all users to maintain a balanced relationship with their AI companion and to seek human connection and professional support when needed.

ForgeMind is not liable for any emotional, psychological, or relational outcomes arising from your use of our services.

14. Hardware Product Terms

This section applies to all hardware-based AI companion products, including but not limited to dedicated local hardware builds and portable AI companion devices.

Shipping and Delivery: Hardware products are shipped to the address provided at the time of purchase. ForgeMind is not responsible for delays, damage, or loss caused by third-party carriers. Risk of loss transfers to you upon handoff to the carrier. Estimated shipping timelines are provided once the hardware has shipped and are not guaranteed.

Returns: Due to the custom-configured nature of our hardware products, all hardware sales are final once the device has been configured and shipped. If your device arrives damaged or defective, contact us within seven (7) days of delivery to arrange a replacement or repair.

Data on Hardware: For local hardware builds, your companion’s data is stored locally on the device. ForgeMind does not have remote access to locally stored data except where a sync or cloud backup feature has been explicitly enabled and authorized by you.

15. Service Availability

We make reasonable efforts to keep our services available and operational. However:

  • We do not guarantee uninterrupted or error-free service
  • Our services depend on third-party AI model providers, hosting providers, communication platforms, and other infrastructure. Outages, changes, or discontinuation of these third-party services may affect your experience and are beyond our control
  • We may perform maintenance, updates, or improvements to our platform that temporarily affect service availability
  • We will make reasonable efforts to notify you of planned maintenance in advance when possible

16. Limitation of Liability

To the maximum extent permitted by law:

  • ForgeMind shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our services
  • ForgeMind shall not be liable for any damages arising from third-party service outages, AI model provider changes, or platform modifications outside our control
  • Our total aggregate liability for any claims arising from or related to our services shall not exceed the total amount you paid to ForgeMind for the specific service giving rise to the claim
  • ForgeMind is not liable or responsible for any issues, damages, or disruptions caused by third-party bots, plugins, integrations, or any outside code, scripts, or modifications that the client introduces, installs, or implements. ForgeMind is solely responsible for the features, code, and systems developed and provided by ForgeMind as part of your purchased service. Any modifications made by the client or third parties outside of ForgeMind’s delivered system are undertaken at the client’s own risk
  • ForgeMind AI companions are capable of executing actions, running processes, and interacting with systems and files as directed by users or as part of autonomous functionality. You assume full responsibility for any instructions you provide to your AI companion and any resulting actions taken by the companion in response to those instructions
  • ForgeMind is not liable for unintended consequences of autonomous companion actions, but will work with you to diagnose and resolve issues arising from autonomous behavior. Your purchase includes a complimentary 30-day technical support period following deployment. After this period, technical support for issues including those arising from autonomous companion behavior is available at quoted rates. ForgeMind recommends maintaining backups of important files and data

17. Indemnification

You agree to indemnify, defend, and hold harmless ForgeMind AI Solutions, LLC, its owners, partners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of our services, your violation of these Terms & Conditions, or your violation of any rights of a third party.

18. Termination

By you: You may discontinue use of our website at any time. If you have an active AI companion service, you may cancel by contacting us at connect@forgemind.info. Cancellation does not entitle you to a refund of amounts already paid.

By us: For paid subscribers in good standing, ForgeMind will provide at least fourteen (14) days notice before terminating service except in cases of abuse, violation of these Terms & Conditions, or conduct that poses an immediate risk to our systems or other users, in which case termination may be immediate. We reserve the right to suspend or terminate access to our website or services for conduct that we believe violates these Terms & Conditions, our acceptable use policy, or is otherwise harmful to other users, us, or third parties.

ForgeMind also reserves the right to terminate any service relationship at its discretion where it determines the relationship is no longer viable, with thirty (30) days notice and a pro-rated refund of any prepaid subscription fees.

Data Upon Termination: Upon termination of service, ForgeMind retains companion data for a minimum of ninety (90) days as required by applicable law and to allow for dispute resolution, audits, or legal process. After this period, you may submit a written deletion request to connect@forgemind.info and ForgeMind will make reasonable efforts to delete your companion data within thirty (30) days of receiving that request. You have up to sixty (60) days following termination to request a copy of your companion data. Data exports will be provided in a reasonably accessible format.

19. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution: In the event of a dispute arising from or relating to these Terms & Conditions or your use of our services, you agree to first attempt to resolve the dispute informally by contacting us at connect@forgemind.info. We will make good faith efforts to resolve the matter within 30 days of receiving your written notice of the dispute.

Binding Arbitration: If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms & Conditions or the breach, termination, enforcement, interpretation, or validity thereof — including the determination of the scope or applicability of this agreement to arbitrate — shall be determined by binding arbitration before a single arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, or if the AAA is unavailable, by JAMS under its applicable rules. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND FORGEMIND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and ForgeMind agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions: Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Litigation: If arbitration is found to be unenforceable or inapplicable to a particular claim, the parties agree to submit to the exclusive jurisdiction of the state or federal courts located in Texas for resolution of such dispute.

20. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

21. Force Majeure

ForgeMind shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or infrastructure outages, third-party service failures, pandemics, or other events beyond our control.

22. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. When we make changes, we will update the “Last Updated” date at the top of this document.

For material changes — including changes to payment terms, dispute resolution, liability, or user rights — active service subscribers will be notified via email or through your service interface no less than fourteen (14) days before the changes take effect. Your continued use of our website or services following the effective date of the changes constitutes your acceptance of the updated terms. If you do not agree to the updated terms, you may cancel your subscription before the effective date.

For non-material changes (such as clarifications, formatting, or corrections), we may update these terms without advance notice.

23. Technical Support Policy

All ForgeMind builds include thirty (30) days of complimentary technical support beginning on the date the build is delivered and turned over to the client. During this period, ForgeMind will provide reasonable assistance with setup, configuration, troubleshooting, and general guidance related to your build at no additional cost. This policy applies to established builds only. Active onboarding and initial deployment assistance are not subject to hourly billing during the turnover process.

After the complimentary support period has ended, clients may contact ForgeMind for support without incurring immediate charges. ForgeMind will first assess the issue and provide a written estimate outlining the scope of work and associated costs before any billable work begins. No work will be invoiced without the client’s explicit written approval of the estimate. Approved work is billed at ForgeMind’s then-current hourly rate, tracked in 15-minute increments. Current rates are available upon request.

ForgeMind will make best efforts to respond to support requests in a timely manner. Response times are not guaranteed and may vary based on volume, complexity, and team availability. ForgeMind is a small team and does not offer guaranteed response windows under standard support.

Priority Support: ForgeMind offers a Priority Support subscription for clients who require faster response times, dedicated access, and expedited updates. Priority Support is available as a separate monthly subscription and is subject to its own service terms provided at the time of enrollment. Standard support terms apply to all clients not enrolled in Priority Support.

24. Severability
